Terms of Use

1. What these Terms cover

These Terms apply to the Site only: our marketing pages, the contact form, and the early access request form. The EZBand Flow platform, including accounts, subscriptions, free trials, and any beta program, is covered by a separate agreement that you accept when you sign up or join. If that agreement conflicts with these Terms, that agreement controls for your use of the platform.

Our Privacy Policy explains how we handle information collected through the Site and is part of these Terms.

2. Who can use the Site

You must be at least 13 years old to use the Site. To request early access, you must be at least 18 years old and able to enter into a binding agreement. If you’re requesting access for a band or organization, you confirm that you’re authorized to act for it.

3. Information on the Site

The Site is for general information about EZBand Flow. We work to keep it accurate, but it may contain errors, omissions, typos, or outdated information. In particular:

• Features and visuals: feature descriptions, screenshots, videos, demos, and examples may be simplified or illustrative, or may show features still in development. The platform may not look or work exactly as shown.
• Pricing and availability: features, pricing, plans, trial terms, availability, and launch dates may change without notice. The prices and terms shown when you sign up or in your account control over anything on the Site.
• Claims and results: statements about time saved, efficiency, or other benefits are general examples, not promises or guarantees. Your results will depend on your band, your circumstances, and how you use the platform.
• Not professional advice: nothing on the Site is legal, tax, accounting, financial, or business advice. This includes content about contracts, payments, payouts, taxes, or mileage. Talk to a qualified professional about your situation.

We may correct errors and change Site content at any time, but we have no obligation to update it.

4. Early access requests

• Submitting a request does not guarantee access, create an account, or create any agreement for us to provide the platform.
• We choose early access participants at our sole discretion. We may limit the number of participants and may change or end the early access program at any time.
• Early access versions of the platform are pre-release software. They may contain bugs, be incomplete, change often, or be unavailable at times. Your use of them is governed by separate terms we’ll give you before access starts.
• The information you submit must be accurate, and you must have the right to share it.

5. Acceptable use

When using the Site, you agree not to:

• break any law or anyone else’s rights;
• submit false information or pretend to be someone else;
• send spam, submit forms automatically, or scrape or harvest content or data from the Site;
• try to gain unauthorized access to the Site or its systems, test their vulnerabilities, or interfere with how they work;
• upload or send viruses or other harmful code;
• copy, change, or republish Site content except as these Terms allow; or
• use our forms to send harassing, abusive, or unlawful content.

6. Our content and trademarks

The Site and its content, including text, graphics, logos, screenshots, videos, design, and code, are owned by Arc & Ether or its licensors and are protected by intellectual property laws. We give you a limited, revocable, non-exclusive, non-transferable permission to view the Site for your own personal or internal business use. You may share links to our pages.

“EZBand Flow,” our logos, and our slogans are trademarks of Arc & Ether LLC. You may not use them without our written permission, except to refer to EZBand Flow accurately.

7. What you send us

You keep ownership of what you send us through the Site. By sending it, you give us permission to use it to respond to you, run the early access program, and operate our business as described in our Privacy Policy.

If you send us ideas, suggestions, or feedback about EZBand Flow, we may use them freely for any purpose, without any obligation or payment to you. Please don’t send us anything you consider confidential.

8. Third-party links

The Site may link to third-party websites and services, such as Facebook, Instagram, and YouTube. We don’t control them and aren’t responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.

9. Disclaimer of warranties

The Site and all of its content are provided “as is” and “as available,” with all faults. To the fullest extent permitted by law, Arc & Ether LLC disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site or its content is accurate, complete, reliable, current, or error-free; that the platform or any feature described on the Site will meet your requirements or be suitable for any particular band, business, or purpose; or that the Site will be uninterrupted, secure, or free of viruses or other harmful components. You use the Site and rely on its content at your own risk.

10. Limitation of liability

To the fullest extent permitted by law, Arc & Ether LLC and its owners, members, managers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, bookings, data, or goodwill, arising out of or related to the Site, your use of or inability to use the Site, or your reliance on any content on the Site, even if we have been told such damages are possible. Our total liability for all claims related to the Site will not exceed one hundred U.S. dollars (US $100).

Some jurisdictions don’t allow certain warranty disclaimers or liability limits, so some of the above may not apply to you. In that case, our liability is limited to the fullest extent the law allows.

11. Indemnification

You agree to defend, indemnify, and hold harmless Arc & Ether LLC and its owners, members, managers, employees, contractors, and agents from any claims, losses, damages, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or your misuse of the Site.

12. Changes and termination

We may change, suspend, or discontinue any part of the Site at any time. We may also update these Terms. When we do, we’ll change the “Last updated” date at the top of this page. If you keep using the Site after an update, you accept the updated Terms.

We may suspend or block your access to the Site if we believe you have violated these Terms. Sections 3 and 6 through 14 continue to apply after that.

13. Governing law and disputes

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Site will be resolved only in the state or federal courts located in Wisconsin, and you and we agree to the jurisdiction of those courts.

Before filing a claim, please email us at contact@ezbandflow.com and give us 30 days to try to resolve the issue informally.

14. General terms

• Entire agreement: these Terms and our Privacy Policy are the entire agreement between you and us about the Site.
• Severability: if any part of these Terms is found unenforceable, the rest stays in effect.
• No waiver: if we don’t enforce a provision right away, we haven’t given up the right to enforce it later.
• Assignment: you may not transfer these Terms to anyone else. We may transfer them, including as part of a merger, acquisition, or sale of assets.
• Relationship: nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
